When choosing a name for your corporation or LLC to be registered within Michigan, you should remember that the name will be unique and will identify you as a separate entity transacting business in the state. The name of a corporation must end with "Corporation," "Corp," "Incorporated" or "Inc.". When picking a nameto use in forming a limited liability company, remember that it must end with "Limited Liability Company" or "LLC".
Since the name you choose will be identifying your corporation or LLC as a unique entity, the name will not be accepted if it is likely to confuse or mislead the public or if it too closely resembles the name of another corporation or LLC formed in Michigan.
Remember, do not use any type of punctuation such as hyphens, brackets, dashes, periods, underscores or commas when deciding on your company name.
A corporation formed under the laws of Michigan can have several members that serve as directors but is only required to have one director for the corporation. Since the board is responsible for managing and overseeing the corporation, it is suggested that the board be comprised of individuals that serve as officers or shareholders who have some type of daily involvement with the corporation's dealings. Michigan has no minimum age requirements for a director.
Corporations based in Michigan are expected to file the Michigan Single Business Tax return, Form MI C-8000 annually, whether a "C" or "S" corporation. The amount of tax owed by companies is dependent on a number of factors and there is no minimum tax in Michigan.
A Limited Liability Company within Michigan is required to formally file as either a corporation or a partnership dependent on the election made on the SS-4 form. Michigan maintains an individual income tax so employers are expected to withhold state income tax. Michigan maintains a sales and use tax of 6%.
The registered agent must have a physical street address within Michigan state. PO boxes are not acceptable, within Michigan.
