Selecting the Oklahoma Corporation or LLC Name:

When you begin selecting the name for your corporation in Oklahoma, it should be remembered that the name will be original in nature and will identify you as a separate entity transacting business in the state. The name you choose for a corporation must end with "Incorporated," "Corporation," "Corp" or "Inc.". When choosing a name for your limited liability company it must end with "Limited Liability Company" or "LLC".

Since the name you select for your new Oklahoma business will be identifying your corporation or LLC as a unique business entity, the name will not be accepted if it is likely to confuse the public at large or if it too closely resembles the name of another corporation or LLC formed in the state of Oklahoma.

Guidelines require that you do not use any type of punctuation such as dashes, semicolons, periods, asterisks or commas in name selection. While it is not a requirement by the state of Oklahoma, it can be advantageous to try to name your corporation or LLC so that it identifies with the goods or services you provide for consumers.


Selecting a Board of Directors:

The board of a corporation can have several members as director but is only required to have one. Since the board is responsible for managing the corporation, it is usually suggested that the board of directors be comprised of individuals that are officers or shareholders who have some type of daily involvement and interaction with the corporation. Oklahoma has no minimum age requirements for a director.


Oklahoma Taxes:

Corporations that do business within Oklahoma are expected to file the Oklahoma Corporation Income Tax return, Form OK 512, whether a "C" or "S" corporation. The amount of tax in Oklahoma is dependent on a number of factors and there is no minimum tax.

An Oklahoma based LLC is required to file as either a corporation or a partnership dependent on the election made on the SS-4 tax form. Oklahoma maintains an individual income tax so employers are expected to withhold state income tax. Oklahoma maintains a general sales and use tax of 4.5 with each county having the right to levy an additional amount of 2%.

The registered agent must have a physical street address within Oklahoma state. PO boxes are not acceptable, within Oklahoma.
