Selecting the Oregon Corporation or LLC Name:

As you are choosing a business name for your corporation to use, it should be remembered that the name is required to be unique and will identify you as a separate entity that is transacting business in the state of Oregon. The name of the corporation you register with Oregon must end with "Incorporated," "Corporation," "Corp" or "Inc.". When you are developing a business name for a limited liability company (LLC), Oregon requires that it must end with "Limited Liability Company" or "LLC".

Because the name you choose for your newly formed business will be identifying your corporation or LLC as a unique business entity, the name will not be accepted if it is likely to mislead the public or if it too closely resembles that of the name of another corporation or LLC formed in Oregon.

Do not use any type of punctuation marks when choosing your business name such as exclamation points, asterisks, addition signs, dashes, periods or commas. It may be advantageous to try to name your corporation or LLC so that it identifies with the goods or services that you will provide, but this is not required by the state of Oregon.


Selecting a Board of Directors:

Your corporation can have several members as director but is only required to have one. Since the board is responsible for overseeing the corporation, it is suggested that the board be made up of people that are officers or shareholders who have some type of daily involvement with the corporation. Minimum age for a director in Oregon is 18.


Oregon Taxes:

Business corporations are expected to file the Oregon Corporation Excise Tax return, Form 20 or 20-S annually, whether a "C" or "S" corporation. The amount of tax is dependent on a number of factors and there is no minimum tax in Oregon.

An LLC within Oregon is required to file as either a corporation or a partnership dependent on the election made on the SS-4. Oregon maintains an individual income tax so employers are expected to withhold state income tax. Oregon does not maintain a general sales and use tax.


Registered Agent:

The registered agent must have a physical street address within Oregon state. PO boxes are not acceptable, within Oregon.
