Steps to Forming a Nevada Corporation

Information We Need From You to Start Your Corporation

1: Select a Name: Your company name must include one of the following: Incorporated, Inc., Limited, Ltd., Company, Co., Corporation or Corp.

2: Authorize Shares: When a corporation is formed, it authorizes shares of stock and then issues that stock to its owners. Owners are known as shareholders. Nevada requires you to designate the number of shares you will initially authorize and their par value. Typically, a corporation will authorize a small number of shares (say, 100). At the first shareholders meeting, you would issue 51% of those shares to yourself, giving you control. The par value of the stock is not the actual value, but rather the lowest price at which the stock can be sold.

3: Choose Management: Corporations are managed by their Directors. The Directors set major company policy, issue stock, determine salaries and bonuses, and appoint the corporate officers (President, Treasurer, Secretary). Generally speaking, you would appoint yourself the sole Director and take on the duties of the various corporate officers.

4: Remaining Info Needed to File:

  • Registered Agent: legal registered agents in Nevada must maintain a physical street address within the state (called a registered office). This cannot be a PO box. All of our Speedy filings come with one free year of Nevada registered agent service by Northwest Registered Agent. This service keeps your home and office addresses out of the public record and fulfills your registered agent, mailing and principal office requirements.

  • Directors: the names and addresses of your board of directors/trustees.

  • Purpose: the lawful business your corporation will perform.

Steps to Forming a Nevada LLC

Information We Need From You to Start Your LLC

1: Select a Name: Your company name must contain the words Limited-Liability Company, Limited Company, or Limited or the abbreviations Ltd., L.L.C., LLC or LC. The word “Company” may also be abbreviated. If you want to see if your company name is available at this time, you can perform a Nevada business name search.

2: Membership: LLCs are owned by their members. Unlike a corporation, an LLC does not issue stock to its owners. Instead, members receive an ownership percentage, which is usually based upon the amount each member has invested in the company.

3: Choose Management: Typically, an LLC is managed by its members. They are in charge of setting all company policy, as well as partaking in the daily operations of the business. However, an LLC can also choose to appoint a manager to run the business. Managers may be members, or they may be outside parties.

4: Remaining Info Needed to File:

  • Registered Agent: a lawful Nevada registered agent for service of process must maintain a physical street address within the state. This is known as a registered office (cannot be a PO box). All of our Speedy filings come with one free year of Nevada registered agent for service of process service. • Dissolution: if you want your LLC to be dissolved at a specific later date, you can indicate a later date, otherwise your company’s existence is considered perpetual.

  • Management: you must indicate whether your LLC is managed by its members or by a manager. You must also include the names and street addresses of either your member(s) or your manager(s).

  • Effective date: if you want the official date of your company’s formation to be later than your filing date, you can elect a specific date and time (not to be more than 90 days after filing date).
