Steps to Forming an Oklahoma Corporation

Information We Need From You to Start Your Corporation

1: Select a Name: Your company name must contain one of the following: Association, Company, Corporation, Club, Foundation, Fund, Incorporated, Institute, Society, Union, Syndicate or Limited, or one of the abbreviations Co., Corp., Inc., or Ltd.

2: Authorize Shares: A corporation’s owners are known as shareholders because they own shares of stock in the company. Oklahoma requires you to designate the number of initial shares you intend to authorize. Most corporations authorize a small number of shares, say 100. You would then issue 51% of those shares to yourself at the first shareholders meeting, giving you control of the company.

You can also designate the class of shares (most corporations issue only common stock) and a par value. The par value is not the actual value of the stock, but rather the lowest price at which the stock can be sold.

3: Choose Management: A corporation is run by Directors. The Directors are in charge of determining company policy, establishing salaries and bonuses, issuing stock, and appointing the corporate officers. Typically, you would appoint yourself the sole Director and take on the roles of the corporate officers (President, Secretary, Treasurer).

4: Remaining Info Needed to File:

  • Registered Agent: a legal registered agent in Oklahoma must have a physical street address within the state, called a registered office (not a PO box). All of our Speedy filings come with one free year of Oklahoma registered agent service by Northwest Registered Agent. This service keeps your private home and office addresses out of the public record and fulfills your registered agent, mailing and principal office requirements.

  • Purpose: the lawful business your corporation intends to conduct.

  • Directors: the names and mailing addresses of your initial directors.

Steps to Forming an Oklahoma LLC

Information We Need From You to Start Your LLC

1: Select a Name: Your company name must include the words Limited Liability Company, Limited Company or one of the abbreviations LLC, LC, L.L.C. or L.C. The word “Limited” may be abbreviated as “Ltd.” The word “Company” may be abbreviated as “Co.” If you want to find out if your company name is currently available, you can conduct an Oklahoma business name search.

2: Membership: An LLC’s owners are known as members. The members do not receive shares of stock, as they would in a corporation, but instead are assigned an ownership percentage. The percentage is generally based upon how much each member has contributed to the company.

3: Choose Management: LLCs are typically managed by their members. Members control company policy, make financial decisions, and take part in the daily operations. However, in some cases, an LLC will choose to appoint a manager to run the company. Managers can be either members or outside parties.

4: Remaining Info Needed to File:

  • Principal place of business: the physical street address of the main business office where your company books and financial records are kept.

  • Email: the company’s primary contact for registered business. Oklahoma sends an Annual Certificate ONLY to an LLCs last known electronic mail address on record.

  • Registered Agent: legal registered agents must maintain a physical street address within Oklahoma. This is known as a registered office, and it cannot be a PO box. Our Speedy filings come with one free year of Oklahoma registered agent service. This free service keeps your private home and office addresses off the public record and fulfills your registered agent, mailing and principal office requirements.

  • Term of existence: if you want your LLC to be dissolved at a specific date in the future, you can indicate a day of expiration, otherwise its existence will be considered perpetual.
